These Membership Rules are an additional set of terms and conditions covering your Membership and how you will access and use of the Second Home facilities and premises of your Chosen Club, and if applicable, the Parking Garage (as defined below) (collectively, the “Premises”) pursuant to the Agreement that each Member (“you” or “your”) is a party to with Second Home (“Second Home” or “we” or “us”). Second Home reserves the right to modify and amend these Membership Rules from time to time in its sole and absolute discretion. Hosting of these Membership Rules, as amended, on the Second Home website (at https://secondhome.io/membership-rules-la) shall constitute notice of same to each Member and the Member’s agreement to abide by the Membership Rules. By agreeing to the Agreement, the Member also acknowledges and agrees to the following Membership Rules, as amended or modified at the sole discretion of Second Home. Member further acknowledges and agrees that these Membership Rules are a made part of the Agreement, and that all capitalized terms not defined in this Membership Rules shall have the same meaning as set forth in the Agreement.
Access to your Chosen Club and Multiple Club Locations
You are entitled to use the Premises solely for the general purpose as described in the Agreement and in these Membership Rules. Second Home reserves the right to approve or disapprove of any use of the Premises, including without limitation your Assigned Studio, which does not comport with the Membership Rules and any and all applicable laws, codes, rules or regulations. The following uses of the Premises are not permitted: (a) retail, medical, other nature involving visits by the public, (b) to sell, manufacture or distribute any controlled or illegal substance, including alcoholic beverages, (c) heavy duty manufacturing, or (d) business operations that require obtaining a license for such sale, manufacture, importation, or distribution.
You agree that the common spaces of Second Home are to be enjoyed by all our Members and Guests (as defined herein) unless otherwise instructed by us, and are for temporary use and not as a place for continuous, everyday work. As used in these Membership Rules, “Guests” shall mean any associate, family member, friend, agent, client, customer, employee, or personnel of a Member subject to being pre-approved or pre-authorized by Second Home personnel in writing and subject to these Membership Rules, as may be amended from time to time, the Agreement, and any other
If your Membership, qualifies for access to Second Home’s other club locations (collectively, “Multiple Club Locations”), then you are entitled to access and use the shared workspaces of other Second Home clubs by using the Multiple Club Location credits purchased as part of your Membership (as set out on the Front Sheet of the Agreement). Your Multiple Club Location Credits are not transferrable and if unused do not roll over into the next month. Subject to the payment terms herein and in the Agreement, if you have used up your Multiple Club Location Credits, you may access and use the shared workspaces of other Multiple Club Locations for an additional fee of Forty US Dollars ($40.00) per day or such other fee as agreed in writing between the parties (collectively, the “Additional Site Credits“). You agree that Second Home shall have the right upon written notice to limit the number of Additional Site Credits that can be purchased by you. All credits will be invoiced pursuant to the Agreement.
Membership Card and Key Use
You acknowledge that all membership cards and keys, including, but not limited to, keys, key cards, key fobs and other such items used to gain physical access to the Premises and to your Assigned Studio (collectively, the “Membership Cards and Keys”) shall remain the property of Second Home. You shall make efforts to safeguard any of Second Home’s property on the Premises (the “Premises Property”) and shall be liable for repair or replacement fees and any related damages should any such Premises Property be damaged or lost.
If you have a Studio or Resident Membership, then each authorized personnel or authorized representative of the Member that is under a Studio Membership, as identified on the Member Authorized Representative List (each an “Authorized Representative”), will also receive a Studio key.
You acknowledge and agree that all Membership Cards and Keys are for your use only. If your Membership Card and Key is lost or stolen, please immediately notify Second Home to request a replacement Membership Card and Key. Additional or replacement Membership Card and Keys are subject to related fees and costs as set forth within the Agreement.
You are not allowed to make any copies of any Membership Cards and Keys, to install any locks in any doorways, including doors to a Studio, on the Premises, or to lend, share or transfer any Membership Cards and Keys to any third party, unless pre-authorized by Second Home upon advance notice of a Member’s intention to engage in any of the preceding acts.
Conduct
Neither you nor your Guests may use the Premises, or any of Second Home’s services offered to conduct or pursue any activities prohibited by the Agreement, these Membership Rules, or the law, or for which you or your Guests (as defined herein) are not authorized (including the downloading of music, software, movies or any other activity that violates intellectual property laws). You will be strictly liable for any illicit, illegal, unlawful, or unauthorized activities of your Guests.
You agree not to engage in verbal, physical, and visual conduct that is intimidating, offensive, harassing, or hostile against a Member or a Member’s Guest, whether or not based on race, color, religion, religious dress practice, sex, gender identity, gender expression, sexual orientation, age, national origin, ancestry, mental or physical disability, pregnancy/childbirth or other medical condition, genetic information, marital status, family status, military or veteran status, or any other status or condition protected by applicable federal, state, or local laws. You also agree not to engage in any of the following: verbal abuse of a sexual nature; graphic commentary about an individual’s body, sexual prowess, sexual deficiencies, or about sexual topics in general; leering; whistling; touching; pinching; assault; coerced sexual acts; sexual acts or excessive public displays of affection; suggestive insulting; obscene comments, gestures, emails, and text messages; and display in the work place of sexually suggestive or pornographic objects or pictures. Any of the preceding activities will be immediately reported to Second Home. If a Second Home personnel finds in their sole discretion that a complaint is justified, the offending party’s Membership may be immediately terminated, in Second Home’s sole and absolute discretion, without any refund of Membership Fees.
You agree not to conduct any activity that may be illegal and/or hazardous to other persons in the building.
You agree to refrain from any activities that may be a nuisance or disruptive, including, but not limited to, acts of a disorderly nature or excessive noise, including without limitation, the use of speakerphones in the common areas where other Members are present.
No weapons of any kind, or any other offensive, dangerous, inflammable or explosive materials into Second Home Clubs are permitted in Second Home. Possession of weapons on Premises is subject to immediate termination of your Membership without any refund.
You agree not to take, copy or use for any purpose the name “Second Home” or any of our other business names, trademarks, service marks, logos, trade dress, other identifiers or other intellectual property or modified or altered versions of the same, or take, copy or use for any purpose any pictures or illustrations of any portion of the Premises, without our prior consent. This obligation shall survive the termination of the Agreement.
Videos, calls, music and presentations cannot be played through laptop or mobile device speakers at any time except in Studios or Meeting Rooms with doors closed. At all other areas of Second Home or the Premises, you must use headphones.
Out of respect to other Members, you should keep all conversations at an appropriate volume level.
Unless you have obtained the prior written authorization to do so, you agree not to solicit, publish, distribute, or deliver any type of promotional, religious, or political materials in the common areas of the Premises or in or around Second Home, outside of your Studio or designated desk as set forth in the Agreement.
You shall not attempt to (or allow others to) gain unauthorized access to the servers located at or serving the Second Home or any personal property or contents of any other Member. You shall not attempt to (or allow others to) gain unauthorized access to restricted areas of Second Home.
Updated Contact Information & Change Notices
We require all Members to update Second Home with updated contact details including recent phone, email, home, office and billing address on file. You agree to promptly update your Company Member details and any related information in connection with the Agreement, including without limitation, changes to your Membership Fees payment information or Authorized Representatives, within 24 hours of such change. Your current information is required in order to receive all notices in relation to your Membership and about Second Home from us. Second Home will not be responsible for any missed communications due to your failure to comply with the above. It is your responsibility to read such emails and to ensure your Members are aware of any changes, even if we notify each Member directly.
Guests
You are permitted to bring up to [3] Guests for three hours during Regular Business Hours (as defined below), subject to the written adjustments and changes by Second Home, at its sole discretion. Guests may not stay for consecutive three-hour periods, unless pre-authorized in writing by Second Home personnel. Guests who remain on the Premises beyond three hours, without written pre-authorization by Second Home personnel, will be asked to leave. Guests that are Meeting Room attendees may stay for the duration of the allotted time for use of a Meeting Room with a Member. No Guests are allowed at Second Home during the hours of 11:00 pm to 7:00 am.
Your Guests must sign in and remain with you at all times. Guests are not permitted into the Premises unless the associated Member is present with the Guest. You also represent and agree that you will promptly make your Guest aware of the Membership Rules and ensure compliance of all Membership Rules by your Guest, will be fully responsible and liable for the actions and omissions of your Guests, and you will be held liable for the repair cost for all damage to Second Home premises, and any other Members’ property caused by your Guests. In addition, in the event that you sign in an individual Guest more than 5 times during any month, then you agree that Second Home can assess applicable Membership Fees for your Guest’s access or use of the Premises, and you further agree that you will be responsible for the payment of any such fees.
If you bring your child or children into the Premises, please be mindful that the same Guest rules apply and you are responsible for their behavior. Children must be accompanied by a guardian at all times and disruptive behavior will not be permitted.
Members can face suspension or termination for any one of the following: If a Guest attempts to enter with a Member’s card without the Member present; if a Guest does not follow the Membership Rules; if a Guest engages in rude, harassing, offensive, disruptive, or abusive behavior, or acts in a threatening, violent, or aggressive manner on the Premises, or against other Members or to Second Home personnel; if a Guest is a minor and is engaging in alcohol consumption, or smoking or vaping tobacco while under the legal age in the applicable jurisdiction; if a Guest engages in the use of any Schedule 1 drug, including without limitation the use of recreational Cannabis as defined under California state law and federal law on the Premises or anywhere in or around a Chosen Club, and if a Guest violates any of the terms set forth in the applicable provisions of the Agreement or any laws governing a Chosen Club. We reserve the right to reject or remove any Guests without notice at our discretion.
Mail and Deliveries
Only Resident, Roaming and Studio Members may use the Second Home mailing address to receive mail and other small deliveries, which will be made available for pick-up (at Second Home’s sole discretion) to Resident, Roaming and Studio Members during the hours of 9:00 am to 5:00 pm Monday to Friday (“Regular Business Hours”). Following any termination of your Membership, you are responsible for having your mail forwarded to your new address. You agree that Second Home has no obligation to store your mail or packages for a former Member, or after your Agreement has expired or been terminated, and Second Home reserves all rights to return back to the sender any such mail or packages, at your expense.
Second Home may extend a courtesy hold of your mail for a short time in its sole discretion but is not obligated and will not be liable for any failure to do so. Should your package be too large to distribute or store, we will notify you immediately. Packages and mail will be held for a maximum of 7 days after which, packages will be returned to sender. Second Homes bears no responsibility or liability for storing, distributing, or delivering any mail or packages.
All mail or packages must not contain any firearms, tobacco, chemicals, perishable goods, food, dangerous or any unlawful or illegal items. You agree that Second Home is not liable for use of Second Home’s address for mail, packages or deliveries for fraudulent or unlawful purposes, and is not liable for any bailment, custody, or storage of mailed items at Second Home’s address.
Pets
If your Second Home Chosen Club permits pets, you or your Authorized Representative may bring pets into your Chosen Club during Regular Business Hours. Second Home shall have the right, but not the obligation, to require you to produce evidence of vaccination for your pet and evidence of compliance with applicable local regulations. You must ensure that any pets brought into your Chosen Club do not present a risk to the safety or health of other Second Home members, employees, agents, other Guests, or contractors. You or your Authorized Representative must accompany your pet at all times, and you are responsible for any injury or damage caused by your pet or your Authorized Representative’s pet. Second Home shall not be liable to you, your Authorized Representative, or your Guest for any injury to your pet, or for any injury or property damage caused by your pet.
Second Home reserves the right, at any time in its sole discretion, to restrict access and order the removal of pets of a Member or an Authorized Representative, from the Premises.
If permitted, Second Home requires your pet to be well-groomed, house trained and obedient. Pets are strictly prohibited from entering the restrooms and designated food and beverage areas throughout the Premises. Pets are not permitted on the furniture. Canine pets are required to be on leash at all times in the gallery and communal areas. Guests are not permitted to bring pets into the Premises. All pets must be registered in advance and each Member must execute the pet waiver form attached to the Agreement (the “Pet Waiver”) and agree to any other Membership Rules governing the allowance and access for pets at Second Home and the Premises.
Information Technology
In order to utilize all the functionalities offered by Second Home, it may be necessary for you to install certain Second Home designated or specified software onto your computer(s), tablet, mobile device or other electronic equipment. In addition, you may request that we troubleshoot problems you may have with respect to printing, accessing the network connection or other issues. If we provide such services, you agree that Second Home will not be responsible for any damage to your equipment.
Second Home provides shared Internet access to Members via a wired or wireless network connection. For those Members wishing to implement a private wired network, Second Home may allow you to install a firewall device for your exclusive access and use, subject to the written approval of an authorized personnel or agent of Second Home (the “Second Home IT Personnel”), and you will be responsible for removal of the same. Prior to any such installation or removal, you shall coordinate with the Second Home IT Personnel to discuss the actual setup, appropriate time, manner and means for such installation or removal and any additional fees that may result from the request. To the extent that Second Home incurs any costs in connection with such installation or removal, which are not otherwise paid by you, we shall deduct such costs from the Service Retainer or invoice you directly for such costs. You shall also be responsible for any monthly fees incurred relating to your private, secured wired network.
You or your Authorized Representative’s computers, tablets, mobile devices and other electronic equipment (collectively, the “Member Devices”) must be (i) kept up-to-date with the latest software updates provided by the software vendor and (ii) kept clean of any malware, viruses, spyware, worms, Trojans, or anything that is designed to perform malicious, hostile and/or intrusive operations. You agree that Second Home reserves the right to remove any device from our networks that poses a threat to our networks or users until the threat is remediated, and to be held liable and pay for any damages to Second Home caused by any unlawful or illegal use of the Second Home network servers or use of your Member Devices.
You also agree to abide by the Terms of Use and Privacy Policy when accessing Second Home’s website found at [https://secondhome.io/location/hollywood].
Audiovisual Recordings, Photography, Promotional Materials, and Use of Social Media
No Member has any rights to film, photograph, or record any Member, Guests, or any Authorized Representative at Second Home without the subjects consent and without the prior approval of Second Home.
For marketing purposes, you agree and hereby consent to Second Home’s right to film, photograph, or record Members in designated common areas of the Premises; provided, however, that Second Home has none of the preceding rights if a Member declines to be filmed, photographed, or recorded, and any publication of any audio visual recordings or photographs of a Member must be pre-approved by the subject Member.
You are not allowed to use photographs, recordings, or audiovisual files of Second Home for your website or any other promotional materials otherwise without prior written approval from Second Home except as set forth within the Agreement.
NTD: COMMERCIAL USE PHOTOS OF SECOND HOME CAN’T BE PUBLISHED ON SOCIAL OR TAGGED
Second Home’s community thrives on shared values of privacy and respect. While we encourage active participation in social media, you agree not to photograph, record, or tag or otherwise discuss about other Members without the prior permission of the applicable Member.
Events
You will provide us with advance notice (no shorter than ten business days) of and complete all required paperwork prior to hosting any event at the Premises. Events are solely subject to the approval and discretion of Second Home.
For events hosted or organized by Second Home, please RSVP and confirm attendance as soon as practicably possible. If you are no longer able to attend an event, please inform us at least 24 hours in advance. Any Member failing to follow any event guidelines, even those noticed, disseminated, or implemented on the day of the event, will no longer be permitted to RSVP or attend events. Members may bring one Guest per event, unless otherwise stated.
Second Home Personnel
The Second Home Personnel are here to take care of you while you are on the Premises. In the same way that respectful behavior is required amongst Members, we require the same consideration for Second Home’s Personnel; inappropriate, unpermitted, unlawful, or illegal conduct with any staff member in or around Second Home will lead to the immediate termination of your Membership and of the Agreement.
Alterations, Changes, Installations, and Maintenance of the Second Home Premises
You agree that you cannot make any structural or nonstructural alterations or installations of wall attachments, in the Chosen Club or elsewhere in the Premises without prior approval by us. In the event that any alterations or installations are made, you shall be responsible for the full cost and expense of the alteration or installation and, prior to the termination of this Agreement, the removal of such items and the restoration necessitated by any such alterations. To the extent that we incur any costs in connection with such alteration, installation or removal, or storage of any related items or property, which are not otherwise paid by you we shall deduct such costs from the Service Retainer, or seek payment for any amounts not covered by (due to there being no applicable existing Service Retainer) or exceeding the Service Retainer. In no event are you permitted to perform any of these actions. Only authorized personnel or vendors of Second Home are entitled to perform an alteration, installation, removal or restoration of any of the areas of Second Home.
You agree not to bring additional furniture, appliances, furnishings or decorations into the Premises of Second Home or install satellite or microwave antennas, dishes, cabling, technology or telecommunications lines anywhere in or around Second Home without the prior written consent of Second Home. Such consent may be withheld by Second Home at its sole and absolute discretion.
You acknowledge that carts, dollies, and other freight items may not be used in the passenger elevator or stairwells except when made by appointment with the General Manager of a Chosen Club, at said General Manager’s sole discretion.
You agree not to store property or materials in common areas or hallways, other than the assigned or rented storage cabinets.
You agree to pay for any damages (exceeding normal wear and tear) and associated costs, including without limitation professional fees to enforce these Membership Rules and remedy any said damage, impacting your Chosen Club.
Lost and Found
You agree that Second Home is under no obligation to store any of the belongings or items of a Member, Authorized Representative, or Guest. Second Home may collect and store your items for a period of thirty (30) days and notify Members of lost and found items or belongings (collectively, the “Lost and Found Items”); provided, however, that you agree that Second Home is under no obligation to collect and store said items, and that you further agree to Second Home’s rights to donate, sell, transfer, or remove any Lost and Found Items.
Use of Name and Logo
You hereby agree and consent to Second Home’s revocable, worldwide, royalty-free, non-exclusive, non-transferable, and non-sublicensable use of your Member Company name and/or logo in connection with identifying you as a Member Company of Second Home Ltd, alongside those of other Members, on a public-facing “Membership” display at https://secondhome.io/membership/ as well as in video, sales presentations and marketing material whether online or otherwise. You warrant that your logo does not infringe upon the rights of any third party and that you have full authority to provide this consent. You may terminate this consent at any time upon thirty (30) days’ prior notice.
You may only use Second Home’s name and logo on your marketing material or website upon Second Home’s prior written consent or pursuant to the Agreement.
Resident and Studio Members
Please utilize the cabinets storage provided for you in your Studio for all paperwork, files, office supplies and other personal effects. In an effort to preserve our aesthetic environment, we please ask that you keep your space neat and free of refuse. Please maintain the location of desks in their original layout.
To preserve the finished surfaces of the facilities, please maintain all artwork, posters, hanging papers and other decor within your designated or authorized area. In addition, we ask that you not hang any items from the top horizontal support frame of any doorway, entryway, or access way to a Studio or hallway in a common area.
You will be provided with one or more task lights for a Studio, and one task light for a Resident desk, and additional lights are available upon request. Please contact the General Manager of your Chosen Club for more information.
Unless required for medical reasons (and approved by Second Home), chairs for your use will be provided by Second Home.
Interpretation of the Guidelines
In the event of any dispute arising as to the meaning or interpretation of these rules, the matter shall be referred to the General Manager, whose decision shall be final.
Violation of the Membership Rules may result in Second Home reporting such conduct to appropriate law-enforcement agencies, if such violation is reasonably deemed by Second Home in good faith and at its sole discretion to be unlawful or illegal, or the immediate termination your Membership. You are responsible for the actions of all persons that you, your agents, assigns or invitees allow or invite to enter into Second Home. You, your agents, assigns, and invitees acknowledge that at no time shall you or they allow a party unknown to them to enter Second Home and that such action may result in the termination of your Membership.
Second Home reserves the right to terminate any Membership at any time, in its sole discretion pursuant to the Agreement where a violation of any membership Rules has occurred.
Parking Rules
You shall have the non-exclusive and restricted license to use available parking spaces in the underground parking garage located at Second Home and any other designated parking lots and spaces identified by Second Home for Member and approved Guest parking (collectively, the “Parking Garage”) on an unreserved and first-come, first-served basis as authorized and determined by any Second Home designated valet services’s employee, representative, or agent, or Second Home employee, representative, or agent (collectively, a “Second Home Valet Agent”), in each’s sole discretion. Except as otherwise agreed upon Second Home has not obligation to provide you or your Guests parking. You shall comply with these Membership Rules and Agreement, including without limitation such reasonable, non-discriminatory rules and regulations regarding parking in the Parking Garage within Second Home, from time to time. There is no guarantee that any of the electric vehicle charging stations in the Parking Garage at Second Home will be available for your vehicle.
You further agree that parking is only allowed during the business hours of Second Home and may be extended subject to Second Home’s sole discretion. For the avoidance, overnight parking is not allowed unless approved in writing by Second Home. Parking spaces must only to be used by a Second Home Member or an approved Guest.
You acknowledge that Second Home reserves all rights to take away, restrict, suspend, or tow-away your car, at your sole cost and expense, if you are in violation of these rules and any of the Membership Rules and the Agreement with respect to your use of the Parking Garage at Second Home. You further agree that your license to access the Parking Garage is subject to Second Home’s use of the Parking Garage, whether for an event, a location audiovisual shoot, or any other reason as determined by Second Home in its exclusive determination.
If you have a validly issued and active handicap placard or permit, then Second Home agrees to not alter your access to any of the available handicap parking spaces in the Parking Garage, subject to these Membership Rules and the Agreement.
Second Home requires that this license to use the Parking Garage to payment of a fee charged on a daily basis, or any other fee structure or terms, as decided and amended by Second Home, from time to time, with reasonable notice. You agree that Second Home is entitled to terminate your license to use the Parking Garage at any time and for any reason.
As a condition to the license to access and use the Parking Garage at Second Home, you further represent and warrant the following:
You possess a valid driver’s license and are authorized to operate a motor vehicle and have all appropriate licenses, approvals and authority to access and use the Parking Garage at Second Home.
You have the legal right to operate the vehicle when dropping off the vehicle, and such vehicle is in good operating condition and meets the industry safety standards and all applicable statutory and state department of motor vehicle requirements for a vehicle of its kind.
You will be solely responsible for any and all liability which results from or is alleged as a result of the condition of your vehicle, including, but not limited to personal injuries, death, loss or theft of personal property, and property damages.
You will be solely responsible for the full functionality of your vehicle. If your vehicle fails to function (electrical, mechanical, battery charge or other) in any way while any Second Home Valet Agent is in possession of your vehicle, you will be responsible for all storage fees, roadside assistance, alternate transportation and repair of any kind.
You have the legal right to designate a Second Home Valet Agent and you delegate actual authority to such Second Home Valet Agent to operate your vehicle and make decisions on your behalf for the purposes of parking your vehicle in the Parking Garage.
You are named or scheduled on the insurance policy covering the vehicle you use in the Parking Garage.
You have a valid policy of liability insurance (in coverage amounts consistent with all applicable legal requirements) for the operation of your vehicle to cover any anticipated losses related to your vehicle or the operation of your vehicle by a Second Home Valet Agent. You will be solely responsible for any and all liability which results from or is alleged as a result of your operation of the vehicle you access and park your vehicle in the Parking Garage, including, but not limited to personal injuries, death and property damages. In the event of a motor vehicle accident you will be solely responsible for compliance with any applicable statutory or state department of motor vehicles requirements, and for all necessary contacts with your insurance carrier.
You will obey all applicable laws related to the matters set forth herein (including, but not limited to, vehicle registration and safety regulations), and you will be solely responsible for any violations of such laws (and Second Home, on behalf of each Second Home Valet Agent and itself, expressly disclaims any liability in connection therewith).
You are in proper condition to operate a motor vehicle, and neither Second Home nor any of its Second Home Valet Agents are responsible or liable for assessing your state when returning your keys.
